우리는 다시 본질로 돌아가서 순수하게 NFT 문화를 즐기고,
한국의 아름다움을 전 세계에 알리기 위해서
이 프로젝트를 기획했습니다.
"가장 한국적인 것이 가장 세계적인 것!" 이라는 말이 있습니다.
전 세계에 K-컬처를 알렸듯이, ITSC를 글로벌에서 한국을 대표하는
NFT로 도약시키겠습니다.
한국을 사랑하는 모든 사람이 '참을성없는 호랑이 사교클럽'의 회원입니다.
'ITSC가 가장 세계적인 것'이 될 것입니다. Korean culture is crazy all over the world.
But why is NFT, whose essence is culture, shunned by the global market?
We're going to go back to the essence and purely enjoy NFT culture

· 파트너 정보와 에어드랍 수량은 본 사이트에 지속적으로 업데이트 될 예정입니다.

· ITSC는 NFT의 가치 형성을 위해 다양한 분야에서의 사업을 진행 할 예정입니다.

참을성 없는 호랑이 사교 클럽(IMPATIENT TIGER SOCIAL CLUB) 이용 약관 최종 수정: 8-10-2023 중요 통지: 본 이용 약관은 “중재; 준거법” 및 “집단소송 및 집단행동의 포기”라는 제목의 섹션들에서 구속력 있는 개별적 중재 합의 및 집단소송의 포기를 포함하고 있습니다. 이러한 섹션들은 귀하와 ITSC(Impatient Tiger LLC) 간의 분쟁과 관련된 귀하의 권리들에 영향을 미치며, 법원이 아니라 대한민국에서 구속력 있는 개별적 중재를 통해 분쟁을 해결할 것을 귀하에게 요구할 수 있습니다. 귀하는 귀하의 국가 및 거주지에서 귀하가 법적으로 성년임을 확인합니다. 귀하가 법적으로 미성년인 경우, 귀하의 부모 또는 법적 후견인이 본 계약에 동의해야 합니다. 1. 당사자들. 수시로 업데이트되고 수정되는 본 이용 약관(이하 “본 약관”)은 델라웨어주 유한책임회사인 Impatient Tiger Social Club LLC(이하 "ITSC", “당사” 및 “당사의”) 및 ITSC NFT(섹션 4에서 정의됨)를 보유하는 디지털 지갑의 각 소유자(이하 “귀하” 및 "귀하의") 간의 법적으로 구속력 있는 계약입니다. 2. 조건의 수락. 본 약관을 주의 깊게 읽으시기 바랍니다. 본 약관은 ITSC NFT 및 아트워크(섹션 4에서 정의됨)의 소유 및 사용에 관한 조건들을 규율합니다. ITSC NFT를 취득함으로써, 귀하는 본 약관에 구속되는 것에 동의합니다. 귀하가 본 약관에 동의하지 않는 경우, 귀하는 ITSC NFT를 취득하거나 아트워크를 사용할 수 없습니다. 3. 조건의 변경. 당사는 당사의 단독 재량으로 언제든지 본 약관을 업데이트 또는 수정할 수 있습니다. 업데이트 및 수정 사항은 웹사이트 https://www.itsc-nft.io/ 또는 당사가 지정하는 기타 웹사이트(이하 “본 웹사이트”)에 게시됩니다. 업데이트 및 수정은, 당사가 달리 명시하지 않는 한, 본 웹사이트에 게시된 후 15일 이내(이하 “중간 기간”)에 효력이 발생합니다. 중간 기간의 만료 이후 귀하가 계속해서 ITSC NFT를 소유하는 것은 업데이트 및/또는 수정된 조건들을 귀하가 수락한다는 것을 의미합니다. 4. ITSC 컬렉션; 블록체인. 참을성 없는 호랑이 사교 클럽(이하 “ITSC 컬렉션”)은 고유한 디지털 아트워크(각각 “아트워크”, 총칭하여 “아트워크들”이라 함)의 컬렉션입니다. 각 아트워크는 주소 0x6413501561fc8780b937854525f3348fb0ea83ff상에 있는 이더리움 블록체인에서 작동하도록 프로그래밍된 스마트 계약(이하 “스마트 계약”)에 의해 발행된 대체 불가능한 디지털 토큰(각각 “ITSC NFT”라 함)으로 표시됩니다. a. 각 ITSC NFT는 이더리움 블록체인에 보관된 소유권 기록에 의해서만 존재하는 무형 디지털 자산입니다. 이더리움 블록체인은 ITSC NFT의 양도를 포함하여 불변의 거래 원장을 제공하는 P2P(peer-to-peer) 네트워크입니다. ITSC는 이더리움 블록체인을 통제하지 않으며, ITSC는 ITSC NFT의 양도, 보관, 소유권 또는 유지에 대한 통제권을 가지지 않습니다. 5. 소유권. a. 귀하가, 본 약관의 적용을 조건으로 하여, 스마트 계약에 따라 등록된 귀하의 디지털 지갑에 ITSC NFT(이하 “귀하의 ITSC NFT”)를 적법하게 보유하는 한, 귀하는: i. 귀하의 ITSC NFT를 소유하고; ii. 귀하의 ITSC NFT를 보유, 판매 및 양도할 수 있는 독점적인 권리를 가지며; iii. 귀하의 ITSC NFT의 기초가 되는 아트워크(이하 “기초 아트워크”)의 파생 작업물(각각 “파생 작업물”이라 함)을 제작, 소유 및 사용할 권리를 가집니다. 단, 귀하가 귀하의 ITSC NFT를 추후에 양도하기로 선택하는 경우, 귀하가 파생 작업물을 계속해서 사용하기 위해서는 당시의 ITSC NFT의 소유자의 라이선스가 요구될 수 있습니다. b. ITSC 및/또는 ITSC의 계열사들(섹션 6.b.iv에서 정의됨)은 다음에 대한 모든 권리, 지분 및 소유권을 가집니다: i. ITSC 컬렉션 및 본 라이선스(섹션 6에서 정의됨)의 대상이 되는 각 아트워크; 및 ii. ITSC 마크(섹션 6.b.iv에서 정의됨). 6. 라이선스. a. 부여. 귀하가 귀하의 ITSC NFT를 적법하게 보유하고 본 약관을 준수하는 한(이하 “라이선스 기간”), ITSC는, 본 섹션6의 제한 및 유보를 조건으로 하여, 기존의 또는 이후에 발명되는 모든 형식 및 매체에서 기초 아트워크를 상업적으로 또는 비상업적으로 사용할 수 있는 전 세계적이고, 로열티가 없으며, 비독점적인 라이선스(이하 "본 라이선스")를 귀하에게 부여합니다. b. 제한 및 유보. 본 라이선스는 다음의 제한 및 유보를 조건으로 합니다: i. 기초 아트워크 및/또는 파생 작업물의 사용은 라이선스 기간 이전, 라이선스 기간 동안 그리고 라이선스 기간 이후 본 약관의 적용을 받습니다. ii. ITSC는 기초 아트워크에 대한 저작권을 포함한 모든 지식재산권을 보유합니다. iii. 본 라이선스는 기초 아트워크 전체 – 즉, 기초 아트워크를 구성하는 모든 베이스 레이어(base layer), 특징, 속성, 특성 및 기타 요소들의 완전한 선정 및 배열에만 적용됩니다. 본 라이선스는 개별 요소 또는 기초 아트워크와 별개로 개별 요소를 이용할 수 있는 라이선스에는 적용되지 않습니다. 예를 들어, 본 라이선스는 귀하가 기초 아트워크를 입체적으로 제작하고 기초 아트워크에 새로운 옷을 추가하는 것은 허용하지만, 귀하가 별도의 작업물에 사용하기 위해 개별적인 특징들(가령, 모피, 액세서리)을 추출하는 것은 허용하지 않습니다. iv. 본 라이선스는 귀하에게 ITSC 또는 ITSC의 계열사들(“ITSC의 계열사들”은 직간접적으로 하나 이상의 중간자를 통해 ITSC를 지배하거나, 그 지배를 받거나, 동일한 지배 하에 있는 다른 법인을 의미합니다)의 상표, 로고, 상호, 브랜드 또는 트레이드 드레스(총칭하여 “ITSC 마크”라 함)에 대한 권리를 부여하지 않습니다. 귀하는 귀하가 취득하고자 하는 ITSC 마크가 관련 영업권과 함께 자동적으로, 즉시, 귀하의 비용으로 ITSC에 양도되는 것에 동의합니다. v. 기초 아트워크와 관련된 상표를 등록하기 위한 출원은 라이선스 기간 동안 이루어져야 하며, 기초 아트워크가 상업적으로 실제로 사용된다는 사실에만 근거해야 하고, 기초 아트워크가 출원일 현재 해당 관할권에서 상업적으로 실제로 사용되고 있는 관련 상품 또는 서비스만을 위한 출원이어야 합니다. 그 결과, 귀하는 “사용 의도”에 근거하여, 또는 귀하가 기초 아트워크를 상업적으로 사용하지 않은 경우, 기초 아트워크에 대한 상표를 등록할 필요가 없습니다. vi. 귀하는 인종, 종교, 성별, 성적 취향 또는 장애와 같은 보호 계층의 구성원이라는 이유로 어떤 개인이나 집단에게 혐오를 표현하거나 폭력을 조장하는 방식으로 기초 아트워크를 사용할 수 없습니다. vii. 귀하는 적용 법률을 위반하는 방식으로 기초 아트워크를 사용할 수 없습니다. viii. 본 계약에서 명시적으로 부여되지 않은 모든 권리는 ITSC가 보유합니다. 7. ITSC로의 라이선스 백(License Back). 귀하는 (a) ITSC 컬렉션을 홍보 또는 전시할 목적으로 기초 아트워크를 공개적으로 전시 및 기타 사용하거나, (b) 귀하가 하나 이상의 메타버스 또는 기타 디지털 환경 또는 어플리케이션에서 청구 및 사용할 수 있도록 설계된 기초 아트워크에 기반하여 아바타, 캐릭터 및 기타 오브젝트를 제작하거나 제3자로 하여금 제작하도록 허락하는 취소 불가능하고, 영구적이며, 비독점적이고, 전 세계적이며, 로열티가 없고, 서브라이선스가 가능한 라이선스를 ITSC에 부여합니다. 단, 이러한 청구 및 사용은 섹션9의 적용을 조건으로 하며, 추가적인 조건들이 적용될 수 있습니다. 8. 서브라이선스. 귀하는, 본 계약에서 허용된 목적으로만, 본 라이선스에 따라 귀하에게 부여된 권리를 제3자(이하 “서브라이선시”)에게 서브라이선스할 수 있습니다. 단, 귀하와 서브라이선시는 최소한 다음 조항들을 포함하는 서면 서브라이선스 계약을 체결해야 합니다: (a) ITSC 및 ITSC의 계열사들을 위하여 모든 진술 및 보증을 부인; (b) 최소한 본 약관에서 정한 바만큼 ITSC 및 ITSC의 계열사들을 보호하도록 책임을 제한하고 손해배상을 부인; 및 (c) 서브라이선시가 ITSC 또는 ITSC의 계열사들을 최소한 본 약관에서 정한 면책만큼 보호하는 면책. 9. 추가 혜택. ITSC NFT의 소유자들은 추가 콘텐츠, 아이템 또는 기타 혜택(각각 “추가 혜택”이라 함)을 제공받을 수도 있습니다. 귀하는 추가 혜택을 받을 수 있는 권리를 가지고 있지 않으며, 귀하가 추가 혜택을 제공받을 것이라는 보장은 없습니다. 추가 혜택에 대해 알아보고 추가 혜택을 신청하거나 받기 위해 필요한 조치를 취하는 것은 오로지 귀하의 책임입니다. ITSC 또는 ITSC의 어느 계열사도 제3자가 제공하는 추가 혜택에 대한 책임을 부담하지 않습니다. 추가 혜택에 적용되는 조건들은 추가 혜택과 함께 제공되는 정보 또는 자료에 명시됩니다. 본 약관과 추가 혜택의 조건들이 상충하는 경우, 본 약관이 우선합니다. 10. 크리에이터 로열티. 귀하의 ITSC NFT를 양도 시, 본 약관에 명시된 권리들 및 기타 관련 서비스들을 약인으로 하여, 귀하는 취득자가 ITSC NFT를 위해 지급한 총액에 (종류 불문의 공제 없이) 5%를 곱한 금액(이하 “크리에이터 로열티”)을 ITSC에 지급합니다(또는 지급되도록 합니다). 양도를 촉진하기 위해 사용된 플랫폼 또는 서비스가 크리에이터 로열티 전액을 캡처하고 ITSC에 직접 지급하는 경우, 귀하는 추가 금액을 지급할 의무가 없습니다. 귀하는 양도와 관련된 모든 거래 수수료, 지급 이체 수수료 및 세금(ITSC의 순수익에 대한 세금 제외)을 지급하며, 크리에이터 로열티로서 ITSC에 지급된 금액에서 이러한 금액들을 공제하지 않습니다. 본 계약에 따라 지급해야 하는 모든 금액은 ITSC가 수용할 수 있는 통화로 지급되어야 하며, ITSC가 지정한 계좌 또는 디지털 지갑으로 지급되어야 합니다. 11. 지식재산 통지; 등록; 집행. a. 저작권 표시. 귀하는 적용 법률이 허용하는 바에 따라 기초 아트워크에 다음의 저작권 표시를 포함시킬 수 있습니다: “Impatient Tiger Social Club Copyright 2023 ITSC Global Inc.” 및/또는 “Impatient Tiger Social Club © 2023 ITSC Global Inc”(이하 “ITSC 저작권 표시”). 귀하가 본 약관을 준수하는 것을 조건으로 하여, 귀하는 귀하 또는 귀하가 지정하는 다른 자를 라이선스 기간 동안 제작된 파생 작업물의 저작권 소유자로 표시하는 저작권 표시를 포함시킬 수 있습니다(단, 귀하는 ITSC 저작권 표시를 또한 포함시켜야 합니다). b. 저작권 등록. 기초 아트워크에 대한 저작권 등록 신청은 “ITSC Global Inc.”를 기초 아트워크의 저작권 소유자로 표시해야 합니다. 파생 작업물에 대한 저작권 등록을 받기 위한 신청은 귀하 또는 귀하가 지정하는 다른 자를 저작권 소유자로 표시할 수 있으나, 기초 아트워크를 기초 아트워크의 기반이 되는 기존의 작업물로 표시해야 합니다. c. 조치. 적용 법률이 귀하에게 기초 아트워크의 무단 사용에 기반한 침해 청구를 제기할 수 있도록 허용하는 범위 내에서, 귀하는 (i) 이러한 청구가 기초 아트워크의 무단 사용에만 기반하고, 다른 아트워크에는 기반하지 않아야 한다는 것(가령, 다른 아트워크가 기초 아트워크와 상당히 유사하다는 이유로); 그리고 (ii) ITSC는, 귀하의 권리를 중대하게 침해하지 않는 한, 이러한 조치에 참여하고 이러한 조치의 추진에 대한 통제권을 가지는 것을 선택할 수 있음에 동의합니다. d. 소유자들 간의 분쟁. ITSC는 ITSC NFT의 소유자들 간에 발생할 수 있는 분쟁의 해결을 지원하거나 이러한 분쟁을 해결해야 할 의무가 없습니다. 12. 양도. a. 디커플링 없음. 귀하는 귀하의 ITSC NFT를 기초 아트워크 또는 본 라이선스와 구분, 차단 또는 분리할 수 없습니다. b. 라이선스의 해지. 스마트 계약에 등록된 바에 따라, 귀하의 ITSC NFT를 새로운 소유자에게 양도 시: (i) 본 계약에 따른 귀하의 본 라이선스는 즉시, 자동적으로 해지되며, (ii) 귀하는 상표 또는 기타 소스 식별자로서 기초 아트워크의 사용을 중단하여야 하고, (iii) 귀하의 본 라이선스 행사와 관련하여 취득한 상표 및 그 등록은, 별도로 협상된 서면 계약에 따라 ITSC NFT의 새로운 소유자에게 적법하게 양도되지 않는 한, 포기된 것으로 간주됩니다. c. 공개된 ITSC 작업물. 라이선스 기간 동안 귀하가 기초 아트워크를 사용하여 작업물(이하 “공개된 ITSC 작업물”)을 제작하고 대중이 이용할 수 있도록 하는 경우, 귀하는 섹션4에 명시된 경우를 제외하고 라이선스 기간 이후에 본 약관에 따라 공개된 ITSC 작업물을 계속해서 사용 및 이용할 수 있습니다. 단, (i) 라이선스 기간 이후 공개된 ITSC 작업물을 귀하가 지속적으로 사용함으로써 발생하는 의무에 대해서는 귀하가 책임을 부담하며, (ii) 이러한 특권은 라이선스 기간 이후에 귀하가 새로운 작업물 또는 자료를 제작하기 위해 기초 아트워크를 이용하는 것을 허용하지 않습니다. 따라서, 예를 들어: i. 라이선스 기간 동안 발표된 기초 아트워크를 특징으로 하는 디지털 시리즈는 라이선스 기간 이후에도 계속 운영될 수 있으나, 기초 아트워크를 특징으로 하는 신규 에피소드들의 제작 또는 배포는 ITSC NFT의 신규 소유자의 라이선스를 필요로 합니다. ii. 라이선스 기간 이후에, 귀하는 라이선스 기간 동안 제작되고 판매를 위해 제공된 기초 아트워크를 특징으로 하는 상품의 기존 재고를 (양도 시점에) 판매할 수 있으나, 기초 아트워크를 특징으로 하는 신규 상품 또는 재고의 제작 또는 배포는 ITSC NFT의 신규 소유자의 라이선스를 필요로 합니다. 13. 귀하의 진술 및 보증. 귀하는 다음을 무조건적으로 진술 및 보증합니다: a. 귀하는 성년이며 본 약관을 체결할 법적 능력을 가지고 있습니다; b. 귀하는 본 약관에 따라 ITSC NFT 및 기초 아트워크만을 사용할 것입니다; c. 귀하는 모든 적용 법률을 준수할 것입니다; d. 귀하는 ITSC NFT의 취득 및 본 약관에 따른 귀하의 권리 및 의무의 행사와 관련된 ITSC 또는 제3자의 권리를 포함하나 이에 국한되지 않는 ITSC 또는 제3자의 권리를 위반하지 않을 것입니다; e. 귀하는 본 약관에 대한 수정 또는 업데이트가 이루어졌는지를 확인하기 위해 정기적으로 본 웹사이트를 방문할 것입니다; 그리고 f. 귀하는 대한민국 법률 또는 기타 적용 법률에 따라 ITSC NFT를 소유 또는 보유할 수 없는 자와 의도적으로 ITSC NFT 또는 아트워크와 관련된 거래를 체결하지 않으며 향후에도 그러할 것입니다. 14. 보증 디스클레이머. a. 각 ITSC NFT, 아트워크 및 추가 혜택(ITSC 또는 ITSC의 계열사들이 제공하는 범위 내에서)은 “있는 그대로(as is)”, “있는 장소 그대로(where is)” 및 “이용 가능한 그대로(as available)” 제공되며, 어떠한 종류의 진술 또는 보증도 명시적으로 부인합니다. 전술한 내용을 제한하지 않고, ITSC는 소유권의 보증, 비침해성, 상품성, 특정 목적에의 적합성, 평온한 향유(quiet enjoyment) 및 거래 과정이나 상관습으로부터 발생하는 모든 보증을 포함하나 이에 국한되지 않는 모든 명시적 또는 묵시적 보증을 명시적으로 부인합니다. b. ITSC 또는 ITSC의 계열사들은 ITSC NFT 또는 아트워크와 관련된 손실에 관해 귀하에 대해 책임을 지지 않으며, 다음으로부터 발생하는 손실, 손해 또는 청구를 포함하나 이에 국한되지 않는, ITSC NFT 또는 아트워크의 사용 또는 사용 불능에 대한 책임을 부담하지 않으며 귀하에 대해 책임을 지지 않습니다: (I) 잊어버린 패스워드, 잘못 구성된 거래 또는 잘못 입력된 지갑 주소와 같은 사용자 에러; (II) 소프트웨어 또는 하드웨어의 행위(behavior) 또는 아웃풋; (III) 데이터 손실 또는 손상; (IV) 블록체인 네트워크 또는 지갑과 관련된 특징, 개발, 오류 또는 기타 문제들; (V) ITSC NFT 또는 기초 아트워크에 대한 무단 액세스; (VI) 제3자의 작위 또는 부작위; 및/또는 (VII) ITSC 또는 ITSC의 계열사들의 합리적인 통제를 벗어난 불가항력 또는 사유. c. 특정 관할권들은 묵시적 보증의 배제를 허용하지 않으며, 이에 따라 일부 또는 전부의 배제는 귀하에게 적용되지 않을 수 있습니다. 15. 위험의 인수. 귀하는 다음 각 호와 관련된 모든 위험을 인정하고 수용하며 단독으로 인수합니다: a. 귀하는 취득 전에 ITSC NFT 및 이에 상응하는 아트워크의 실사를 수행할 단독 책임을 부담합니다. 당사는 귀하가 취득 전에 ITSC NFT에 대한 귀하의 조사를 만족시키기 위한 목적으로 기존 소유자와 투명한 의사소통을 하고 필요한 문서 및 정보를 교환할 것을 강력하게 권고합니다. b. 블록체인 기술 및 디지털 자산(가령, 대체 불가능한 토큰 및 암호화폐)은 비교적 새로우며, ITSC NFT의 가치에 중대한 영향을 미칠 수 있는, 블록체인 기술 및 디지털 자산과 관련된 규제 프레임워크는 불확실하며 진화하고 있습니다. 귀하는 목적을 불문하고 ITSC NFT를 투자로 간주할 수 없습니다. c. 귀하는 ITSC NFT에 대한 권리의 매수, 매도 또는 양도에 적용되는 세금을 결정하고 납부할 단독 책임을 부담합니다. d. ITSC NFT 및 이에 상응하는 아트워크를 포함하는 거래들은 제3자 또는 탈중앙화된 웹사이트, 플랫폼, 시스템 또는 시장(이하 “제3자 플랫폼”)에 의존합니다. 당사는 해당 플랫폼, 시스템 또는 시장과 관련하여 어떤 의무도 유지, 통제 또는 인수하지 않습니다. ITSC가 제3자 플랫폼, 사이트 또는 기타 리소스에 링크 또는 액세스를 제공하는 범위 내에서, ITSC는 편의 목적으로만 이를 제공하며, 제3자들로부터 또는 이에 표시된 내용을 통해 구할 수 있는 콘텐츠, 상품이나 서비스에 대해 책임을 지지 않습니다. e. 귀하가 귀하의 디지털 지갑을 제3자 플랫폼에 링크하여 ITSC NFT를 발행 하거나 전송하거나 기타 액세스할 때, 귀하는 귀하의 디지털 지갑의 보안을 유지하고 귀하의 디지털 지갑에 저장되거나 귀하의 디지털 지갑을 통해 액세스할 수 있는 지갑과 관련된 인증 자격, 암호화폐 개인 키 또는 공개 키, 대체 불가능한 토큰 또는 암호화폐에 대한 귀하의 통제를 유지해야 할 단독 책임을 귀하가 부담한다는 것을 이해하고 이에 동의합니다. 귀하의 암호화폐 지갑에 대한 제3자들의 무단 액세스는 은행 계좌(들) 또는 신용카드(들) 등과 같은 링크된 금융 정보를 포함하여, 귀하의 지갑 및 관련 지갑들에 보관된 ITSC NFT 및/또는 기타 자산의 분실이나 도난을 초래할 수 있습니다. 당사는 귀하의 디지털 지갑의 보안을 관리 및 유지하거나 귀하의 디지털 지갑에 대한 무단 액세스 또는 사용에 대해 책임지지 않습니다. 16. 면책. 귀하는 ITSC와 ITSC의 계열사들 및 이들 각자의 모회사, 자회사, 소유주, 이사, 임원, 직원, 대리인, 대표, 전임자, 승계인 및 양수인(총칭하여 “면책권리자들”이라 함)을, 적용 가능한 범위 내에서, (a) 귀하의 진술의 부정확성, (b) 귀하의 본 약관 위반 또는 위반 혐의, (c) 대체 불가능한 토큰 시장 또는 제3자 서비스나 상품에 대한 귀하의 액세스 또는 사용, (d) 귀하의 본 라이선스 행사 또는 행사 시도 및/또는 (e) 귀하의 실제 적용 법률 위반 또는 위반 혐의에 의해 발생하거나, 이에 기반하여 어느 면책권리자에게 부과되거나, 이로부터 발생하거나, 이와 관련된 특별 손해배상, 결과적 손해배상, 징벌적 손해배상 또는 손실, 가치 하락, 비용 및 경비(법률, 컨설턴트, 회계 및 기타 전문가 수수료 및 본 약관 실행 비용 및 보험 제공자들을 구하는 데 발생한 비용을 포함함)를 포함하는 모든 손실, 손해, 청구(제3자 청구를 포함함), 요금, 이자, 위약금, 세금, 조치, 소송, 합의금, 판결, 판정, 벌금, 부족액, 이자, 요구 및 경비로부터 면책, 방어 및 보호하는 것에 동의합니다. 해당 청구의 방어에 사용될 변호사의 경우, 해당 변호사를 선임하기 전에 ITSC의 서면 승인을 받아야 하며, 당사의 요청이 있는 경우, 귀하는 ITSC가 해당 청구의 방어에 참여할 수 있도록 해야 합니다. 귀하는 책임의 인정을 포함하는 청구 또는 소송의 합의 또는 화해를 당사의 사전 서면 동의 없이 체결하지 않습니다. 17. 책임의 제한. a. 귀하는 본 약관, ITSC NFT, 아트워크 및 추가 혜택과 관계가 있거나, 이로부터 발생하거나, 이와 관련된 각 면책권리자의 총 책임을, 계약 이론, 불법행위(과실 포함), 법령 등으로 인한 것인지 여부를 불문하고, $100로 제한하는 것에 동의합니다. b. 어떠한 경우에도 면책권리자는, 해당 면책권리자가 해당 손해의 가능성을 알고 있었다고 할지라도, 계약 이론, 불법행위(과실 포함) 등으로 인한 것인지 여부를 불문하고, 결과적 손해, 부수적 손해, 간접 손해 또는 특별 손해에 대한 책임을 부담하지 않습니다. 18. 중재; 준거법. a. 본 계약은 효력, 해석 및 효과를 포함한 모든 측면에 있어서, 대한민국의 법의 선택 원칙의 적용 없이, 체결된 계약들에 적용되는 대한민국 법률에 의해 규율됩니다. 귀하는 귀하가 배심원 재판을 받을 권리가 없음을 인정합니다. b. 본 약관과 관계가 있거나, 이로부터 발생하거나, 이와 관련된 모든 분쟁은 대한상사중재원의 국제중재규칙에 따라 중재로 최종 해결합니다. 중재인의 수는 3인입니다. 중재 절차의 소재지 또는 법적 장소는 대한민국 서울로 합니다. 중재 절차에서 사용되는 언어는 영어로 합니다. c. 적용 법률이 허용하는 범위 내에서: (i) 귀하와 ITSC는 신청, 관리 및 중재 수수료의 모든 비용을 균등하게 분담하며, (ii) 귀하와 ITSC는 각각 변호사, 컨설턴트 및 전문가 수수료를 포함하나 이에 국한되지 않는, 중재에서 발생한 귀하의 자체 수수료를 지급할 책임을 부담합니다. d. 중재인은 일방 당사자가 주장하는 청구의 본안에 대한 모든 책임 문제에 대해 결정을 내리며, 구제를 구하는 개별 당사자만을 위하여, 해당 당사자의 개별 청구에 의하여 보증된 구제를 제공하기 위하여 필요한 범위 내에서만, 선언적 구제 또는 금지명령구제를 판정할 수 있습니다. 귀하 또는 ITSC가 청구에 대해 승소하고 대중적인 금지명령구제(즉, 대중에게 장래의 손해를 위협하는 불법행위를 금지하는 주된 목적과 효과를 가지는 금지명령구제)를 구하는 경우, 해당 구제의 자격 및 범위는 중재가 아니라 관할 민사 법원에서 소송해야 합니다. 당사자들은 대중적인 금지명령구제 문제에 대한 소송이 중재에서 개별 청구들의 본안에 대한 결과가 나올 때까지 중단되는 것에 동의합니다. 19. 집단소송 및 집단행동의 포기. 적용 법률이 허용하는 최대한의 범위 내에서, 귀하와 ITSC는 ITSC 컬렉션, 아트워크, 귀하의 ITSC NFT 또는 파생 작업물과 관계가 있거나, 이로부터 발생하거나, 이와 관련된 분쟁에 관하여 집단의 대표(class representative), 사적 검찰총장(private attorney general) 또는 청구인 집단의 구성원으로서 참여할 수 없다는 것에 동의합니다. 본 조항의 해석은 가능한 한 최대한으로 실행 가능한 방식으로 이루어져야 합니다. 어떠한 이유로든 법원 또는 중재인이 본 조항을 집행 불가능하다고 판단하는 경우, 당사자들의 중재 합의는, 본 약관의 나머지 부분에 영향을 미치지 않고, 완전히 무효가 된다는 것에 귀하는 동의합니다. 20. 양도. ITSC는 자신의 단독 재량으로 본 약관을 ITSC의 계열사 또는 기타 제3자에게 양도할 수 있습니다. 이러한 양도 시, 귀하는 양도일 현재 본 약관에 따른 모든 추가 책임 및 의무로부터 ITSC를 전적으로, 영구히 면제하는 것에 동의합니다. 귀하는 ITSC의 사전 서면 동의 없이 본 계약을 양도할 수 없습니다. 21. 무보장; 기타 확인. 귀하는 다음을 인정하고 이에 동의합니다: (A) ITSC NFT 및 아트워크는 수집품이며 소비자의 향유, 사용 및 소비만을 목적으로 합니다; (B) ITS NFT및 아트워크는 대한민국, 미합중국 또는 기타 지역의 적용 증권법에 따라 정의된 “증권”이 아닙니다; (C) 귀하는 귀하가 ITSC NTF 또는 아트워크에서 수익을 얻을 것이라고 알고 있지 않으며, 이에 대한 합리적인 기대나 믿음을 가지고 있지 않습니다; (D) ITSC NFT 및 아트워크는 시간이 지남에 따라 가치를 상실할 수 있습니다; (E) 각 ITSC NFT 및 아트워크는 고유하며, 하나 이상의 ITSC NFT 또는 아트워크의 가치는 증가할 수 있는데 반해 다른 ITSC NFT 및 아트워크의 가치는 증가하지 않을 수 있습니다; 그리고 (F) (ITSC를 포함하여) 어느 누구도 ITSC NFT(들) 또는 아트워크(들)의 가치를 고취시키거나 기타 증대시키기 위한 노력을 한다고 귀하에게 진술 또는 약속하지 않았으며, 귀하는 ITSC의 NFT의 취득 또는 보유와 관련하여 이러한 진술 또는 약속에 의존한 적이 없습니다. 22. 제3자 플랫폼의 서비스 조건. 귀하는 ITSC NFT를 생성, 양도, 매수 및/또는 매도하기 위하여 액세스하거나 사용하는 제3자 플랫폼들(각각 “서비스 플랫폼”이라 함)에 적용되는 모든 사용 조건들을 준수하는 것에 동의합니다. ITSC 및 ITSC의 계열사들은 귀하의 서비스 플랫폼 액세스 또는 사용에 대하여 어떠한 방식으로도 귀하에 대해 책임을 지지 않습니다. 23. 선관주의 의무 없음. 법률이 허용하는 최대한의 범위 내에서, ITSC 및 ITSC의 계열사들은, 귀하와 ITSC가 별도의 서면 및 적법하게 체결된 계약으로 달리 합의하지 않는 한, 귀하 또는 제3자에게 선관주의 의무 또는 책임을 부담하지 않습니다. 이러한 선관주의 의무 또는 책임이 법률상 또는 형평법상 존재하는 범위 내에서, 이러한 의무 및 책임은 이로써 확정적으로 부인, 포기 및 제거됩니다. ITSC가 귀하에 대해 부담할 수 있는 유일한 의무들은 본 약관에 명시적으로 규정되어 있음에 귀하는 동의합니다. 24. 완전한 합의. 본 약관은 귀하와 ITSC 간의 완전한 합의를 포함하며, 본 약관의 주제에 관한 과거의 모든 진술, 이해 및 합의를 대체하며, 이는 모두 본 약관으로 통합됩니다. 본 약관에 완전히 명시되지 않은 사항들과 관련하여 귀하 또는 ITSC 간에 구두 또는 서면으로 된 진술, 보증, 합의, 약정, 확약은 존재하지 않습니다. 기타 문서, 출판물 또는 거래 과정의 조건들은 섹션 3 및 섹션 29에 규정된 경우를 제외하고 본 약관을 수정할 수 없습니다. 25. 서면에 의한 수정. 귀하와 ITSC가 적법하게 체결한 서면에 의한 경우를 제외하고, 본 계약은 어떠한 측면에서 또는 특정 측면에서 개조, 개정, 수정 또는 달리 변경될 수 없습니다. 어느 한 조항의 수정 또는 포기는 명시적으로 수정되거나 포기되지 않은 다른 조항의 수정이나 포기를 구성하지 않습니다. 26. 가분성. 본 약관의 각 부분, 조건, 섹션 및 조항은 다른 부분들과 분리될 수 있습니다. 이유를 불문하고 중재인(또는 중재가 적용 법률에 따라 집행될 수 없는 경우, 관할 법원)이 어느 부분, 조건, 섹션 또는 조항을 무효이거나 위법하거나 집행 불가능하다고 판정하는 경우, (i) 무효이거나 위법하거나 집행 불가능한 부분, 조건, 섹션 또는 조항은 완전히 분리될 수 있고(단, 적용 법률을 준수하기 위해 필요한 범위 내에서만), (ii) 본 약관은 무효이거나 위법하거나 집행 불가능한 부분, 조건, 섹션 또는 조항이 본 약관에 포함되지 않은 것처럼 해석 및 집행되며, (iii) 본 약관의 나머지 부분, 조건, 섹션 또는 조항은 여전히 완전한 효력을 가지며, 무효이거나 위법하거나 집행 불가능한 부분, 조건, 섹션 또는 조항에 의해 또는 이러한 부분, 조건, 섹션 또는 조항이 본 약관에서 분리되는 것으로 인해 영향을 받지 않습니다. 27. 변호사의 대리. 아트워크와 관련하여 대체 불가능한 토큰을 귀하가 취득하기 전에 본 계약의 검토와 관련하여 귀하가 선택한 독립적인 변호사를 구할 것을 권고 받았습니다. 귀하는 ITSC 또는 기타 제3자의 부당한 영향 없이 귀하가 원하는 범위 내에서 본 약관을 검토할 충분한 기회를 가졌다는 것에 동의합니다. 28. 포기. 본 약관의 어느 조항 또는 귀하의 ITSC NFT나 기초 아트워크와 관련된 권리를 신속하게 집행하지 않는 것은 이러한 조항 또는 권리의 포기로 해석되지 않습니다. 29. 블록체인의 지정; 포크. 본 라이선스는 ITSC가 자신의 단독 재량으로 지정할 수 있는 블록체인상의 ITSC NFT에만 적용되며, 이러한 지정은 소급하여 적용됩니다. 따라서, 가령, 포크(fork) 또는 기타 이벤트가 ITSC NFT의 복제 초래를 의도하는 경우, ITSC가 지정한 블록체인상에 등록된 대체 불가능한 토큰만이 본 라이선스의 혜택을 받을 수 있습니다. ITSC가 지정하지 않은 블록체인상에 등록된 대체 불가능한 토큰의 소유자에게 본 계약에 따라 부여된 라이선스는 처음부터 무효입니다. 30. 계약의 존속. 귀하의 진술, 보증 및 의무는 귀하 또는 제3자가 주장하는 모든 청구에 대한 모든 잠재적인 소멸시효가 만료될 때까지 존속합니다. 31. 제목. 본 약관의 섹션 및 서브 섹션의 제목들은 참조의 편의만을 위하여 삽입되었으며, 본 약관을 해석하기 위해 사용될 수 없습니다. 32. 언어. 본 약관은 영어로 제공되며, 영어본은 본 약관의 다른 번역본에 우선합니다. 33. 당사자들의 제한적 관계. 본 약관에 포함된 어떠한 내용도 당사자들 간에 대리, 파트너십, 합작투자, 풀링 약정 또는 기타 형태의 합작기업, 고용 또는 신탁 관계를 창설하는 것으로 해석되지 않으며, 어느 당사자도 방식을 불문하고 상대방 당사자를 위하여 계약을 체결하거나 상대방 당사자를 구속할 권한을 가지지 않습니다. 34. 추가 보증. 귀하는 ITSC에게 합리적으로 상호 수용할 수 있는 형식 및 내용으로 모든 증서를 체결 및 교부하고, 본 약관의 의도를 완전히 시행하기 위해 합리적으로 필요한 기타 모든 조치를 취해야 합니다. 35. 해석. 본 계약에 포함된 모든 조건들은 귀하가 완전히 검토하였습니다. 귀하는 불일치하거나 모호한 부분이 있는 경우, 계약의 작성자에게 불리하게 계약을 해석해야 한다는 해석 원칙 또는 법 규칙이 본 계약의 조건들에 적용되지 않는다는 점에 동의합니다.

THESE SECTIONS AFFECT YOUR RIGHTS WITH RESPECT TO ANY DISPUTE BETWEEN YOU AND ITSC AND MAY REQUIRE YOU TO RESOLVE DISPUTES IN BINDING, INDIVIDUAL ARBITRATION IN THE REPUBLIC OF KOREA AND NOT IN COURT. YOU MUST BE AND HEREBY AFFIRM THAT YOU ARE AN ADULT OF THE LEGAL AGE OF MAJORITY IN YOUR COUNTRY AND STATE OF RESIDENCE. IF YOU ARE UNDER THE LEGAL AGE OF MAJORITY, YOUR PARENT OR LEGAL GUARDIAN MUST CONSENT TO THIS AGREEMENT. 1. Parties. These Terms of Use, as updated and modified from time to time (the “Terms”), is a legally binding agreement between Impatient Tiger Social Club LLC, a Delaware limited liability company (“ITSC”, “we”, and “our”) and each owner of a digital wallet that holds an ITSC NFT (defined in Section 4) (“you” and “your”). 2. Acceptance of Terms. Please read the Terms carefully. The Terms govern the terms and conditions relating to the ownership and use of an ITSC NFT and Artwork (defined in Section 4). By acquiring an ITSC NFT, you agree to be bound by the Terms. If you do not agree to the Terms, you may not acquire an ITSC NFT or use an Artwork. 3. Changes to Terms. We may update or modify the Terms at any time in our sole discretion. Updates and modifications will be posted to the website https://www.itsc-nft.io/ or any other website we may designate (“Website”). An update and modification is effective within 15 days after it is posted on the Website unless we indicate otherwise (the “Interim Period”). Your continued ownership of an ITSC NFT after expiration of the Interim Period constitutes your acceptance of the Terms as updated and/or modified. 4. ITSC Collection; Blockchain. Impatient Tiger Social Club (“ITSC Collection”) is a collection of unique digital artworks (each an “Artwork” and collectively “Artworks”). Each Artwork is represented by a non-fungible digital token (each an “ITSC NFT”) minted by a smart contract programmed to run on the Ethereum blockchain at address 0x6413501561fc8780b937854525f3348fb0ea83ff (the “Smart Contract”). a. Each ITSC NFT is an intangible digital asset that exists only by virtue of the ownership record maintained on the Ethereum blockchain. The Ethereum blockchain is a peer-to-peer network that offers an immutable ledger of transactions, including transfers of an ITSC NFT. ITSC does not control the Ethereum blockchain and ITSC has no control over the transfer, storage, ownership or maintenance of an ITSC NFT. 5. Ownership. a. As long as you lawfully hold an ITSC NFT in your digital wallet as recorded by the Smart Contract (“Your ITSC NFT”), subject to the Terms, you: i. own Your ITSC NFT; ii. have the exclusive right to hold, sell and transfer Your ITSC NFT; and iii. have the right to create, own and use derivative works (each a “Derivative Work”) of the Artwork underlying Your ITSC NFT (an “Underlying Artwork”), provided, however, that if you elect to subsequently transfer Your ITSC NFT, your continued use of a Derivative Work may require a license from the then-current owner of the ITSC NFT. b. ITSC and/or ITSC’s Affiliates (defined in Section 6.b.iv) own all rights, interest and title to: i. the ITSC Collection and each Artwork subject to the License (defined in Section 6); and ii. the ITSC Marks (defined in Section 6.b.iv). 6. License. a. Grant. So long as you lawfully hold Your ITSC NFT and you comply with the Terms (the “License Term”), ITSC grants you a worldwide, royalty-free, and non-exclusive license (the “License”) to use the Underlying Artwork, for both commercial and non-commercial uses, in any and all forms and media, whether not existing or invented later, subject to the restrictions and reservations in this Section 6. b. Restrictions and Reservations. The License is subject to the following restrictions and reservations: i. The use of an Underlying Artwork and/or Derivative Work is subject to the Terms before, during and after the License Term. ii. ITSC retains all intellectual property rights, including the copyright, in the Underlying Artwork. iii. The License extends only to the Underlying Artwork as a whole – meaning, the complete selection and arrangement of all base layers, features, attributes, traits, and other elements that comprise the Underlying Artwork. The License does not extend to any individual element or a license to exploit any individual element separate and apart from the Underlying Artwork. For example, the License allows you to create three-dimensional renditions of, and to add new clothing to, the Underlying Artwork, but does not allow you to extract individual features (e.g., fur, accessories) for use in a separate work. iv. The License does not grant you any rights in or to ITSC’s or ITSC’s Affiliates’ (“ITSC’s Affiliates” means any other entity that, directly or indirectly, through one or more intermediaries, controls, is controlled by, or is under common control with ITSC) trademarks, logos, trade names, brands, or trade dress, (collectively, “ITSC Marks”). You agree that any ITSC Marks you purport to acquire, together with any associated goodwill, shall automatically, immediately, and at your expense be assigned to ITSC. v. An application to register a trademark relating to the Underlying Artwork must occur during the License Term and be based solely upon the actual use of the Underlying Artwork in commerce and solely for the goods or services in connection with which Underlying Artwork has actually been used in commerce in the applicable jurisdiction as of the date of the application. As a result, you may not seek to register a trademark in the Underlying Artwork on an “intent to use” basis or where you otherwise have not used the Underlying Artwork in commerce. vi. You may not use the Underlying Artwork in any manner that expresses hate or encourages violence towards a person or group based on membership in a protected class, such as race, religion, gender, orientation, or disability. vii. You may not use the Underlying Artwork in a manner that violates any applicable law. viii. All rights not expressly granted herein are reserved by ITSC. 7. License Back to ITSC. You grant to ITSC an irrevocable, perpetual, non-exclusive, universe-wide, royalty-free, sublicensable license to (a) publicly display and otherwise use the Underlying Artwork for the purpose of promoting or exhibiting the ITSC Collection, (b) create, and authorize third-parties to create avatars, characters, and other objects based on the Underlying Art designed for you to claim and use in one or more metaverse or other digital environments or applications; provided, however, that any such claim and use is subject to Section 9 and additional terms and conditions may apply. 8. Sublicense. You may sublicense to a third-party (“Sublicensee”) any right granted to you under the License solely for the purposes permitted herein, provided, that, you and the Sublicensee enter into a written sublicense agreement that, at a minimum, contains provisions that: (a) disclaim any and all representations and warranties on behalf of ITSC and ITSC’s Affiliates; (b) limits the liability and disclaims damages that are at least as protective of ITSC and ITSC’s Affiliates as those set forth in these Terms; and (c) indemnification by Sublicensee of ITSC and ITSC’s Affiliates at least as protective as the indemnification set forth in these Terms. 9. Additional Benefits. Owners of an ITSC NFT may be offered additional content, items, or other benefits (each an “Additional Benefit”). You are not entitled to receive an Additional Benefit and there is no assurance you will be offered an Additional Benefit. It is your sole responsibility to keep yourself apprised of the availability of an Additional Benefit and to take necessary steps to apply for or collect an Additional Benefit. Neither ITSC nor any of ITSC’s Affiliates will be responsible for an Additional Benefit offered by a third-party. The terms and conditions applicable to any Additional Benefit will be set forth in the information or materials provided with the Additional Benefit. To the extent there is a conflict between the Terms and any terms and conditions of an Additional Benefit, the Terms shall govern. 10. Creator Royalties. Upon transfer of Your ITSC NFT, in consideration of the rights set forth in these Terms and any other associated services, you will pay (or caused to be paid) to ITSC a fee in an amount calculated by multiplying the total amount paid by the acquiror for the ITSC NFT (without deductions of any kind) by five percent (5%) percent (the “Creator Royalty”). If the platform or service used to facilitate the transfer captures and pays the full amount of the Creator Royalty directly to ITSC then you will have no obligation to pay any additional amounts. You will pay any and all transaction fees, payment transfer fees and taxes (other than taxes on ITSC’s net income) associated with the transfer and will not deduct any such amounts from the amount paid to ITSC as the Creator Royalty. All amounts owed hereunder will be paid in a currency acceptable to ITSC and will be paid to the account or digital wallet designated by ITSC. 11. Intellectual Property Notices; Registrations; Enforcement. a. Copyright Notices. You may include the following copyright notice with the Underlying Artwork: “Impatient Tiger Social Club Copyright 2023 ITSC Global Inc.” and/or “Impatient Tiger Social Club © 2023 ITSC Global Inc (the “ITSC Copyright Notice”), as applicable laws may permit. Subject to your compliance with the Terms, you may include a copyright notice identifying you, or such other person you designate, as the copyright owner of any Derivative Work created during the License Term, provided that you also include the ITSC Copyright Notice. b. Copyright Registrations. Any application to obtain a copyright registration in the Underlying Artwork shall identify “ITSC Global Inc.” as the copyright owner of the Underlying Artwork. Any application to obtain a copyright registration in a Derivative Artwork may identify you or such other person you designate as the copyright owner but shall identify the Underlying Artwork as a preexisting work upon which the Underlying Artwork is based. c. Actions. To the extent applicable law authorizes you to bring a claim for infringement based upon the unauthorized use of the Underlying Artwork, you agree that: (i) any such claim shall be based solely upon the unauthorized use of the Underlying Artwork and no other Artworks – for example, on the ground that the other artwork is substantially similar to the Underlying Artwork; and (ii) ITSC may, in its sole discretion, join and, unless it would materially prejudice your rights, elect to take over the control of the prosecution of, any such action. d. Disputes Among Owners. ITSC has no obligation to support the resolution of, or resolve any, dispute that may arise between owners of an ITSC NFT. 12. Transfers. a. No Decoupling. You may not separate, unlink or decouple Your ITSC NFT from the Underlying Artwork or the License. b. Termination of License. Upon the transfer of Your ITSC NFT to a new Owner, as recorded by the Smart Contract: (i) your License hereunder shall immediately and automatically terminate; (ii) you must discontinue any use of the Underlying Artwork as a trademark or other source identifier; and (iii) any trademark and corresponding registration obtained in connection with your exercise of the License shall be deemed abandoned unless duly transferred to the new owner of the ITSC NFT under a separately negotiated written agreement. c. Published ITSC Works. If, during the License Term, you create and make available to the public a work using an Underlying Artwork (a “Published ITSC Work”), you may, except as set forth in Section 4, continue to use and exploit that Published ITSC Work in accordance with these Terms after the License Term; provided, however, that: (i) you will be responsible for any obligations or liabilities arising from your continued use of the Published ITSC Work after the License Term; and (ii) this privilege does not allow you to use the Underlying Artwork to create any new works or materials after the License Term. Thus, for example: i. A digital series featuring the Underlying Artwork that was released during the License Term may continue to run after the License Term, but any creation or distribution of any new episodes featuring the Underlying Artwork would require a license from the new owner of the ITSC NFT. ii. After the License Term, you may sell off existing (at the time of transfer) inventories of merchandise featuring the Underlying Artwork that were created and offered for sale during the License Term, but the creation or distribution of any new merchandise or inventory featuring the Underlying Artwork would require a license from the new owner of the ITSC NFT. 13. Your Representations and Warranties. You unconditionally represent and warrant that you: a. are over the age of majority and have the legal capacity to enter into the Terms; b. will only use the ITSC NFT and Underlying Artwork in accordance with the Terms; c. will comply with all applicable laws; d. will not violate any right of ITSC or a third-party, including, but not limited to, as it relates to the acquisition of an ITSC NFT and the exercise of your rights and obligations under the Terms; e. will regularly visit the Website to confirm whether any modifications or updates have been made to the Terms; and f. are not, and will not, knowingly execute a transaction involving an ITSC NFT or Artwork with any person who is not permitted to own nor hold an ITSC NFT pursuant to the laws of the Republic of Korea or any other applicable laws. 14. Warranty Disclaimers. a. EACH ITSC NFT, ARTWORK, AND ADDITIONAL BENEFIT (TO THE EXTENT PROVIDED BY ITSC OR ITSC’S AFFILIATES) IS PROVIDED “AS IS”, “WHERE IS” AND “AS AVAILABLE” AND EXPRESSLY DISCLAIM ANY AND ALL REPRESENTATIONS OR WARRANTIES OF ANY KIND. WITHOUT LIMITING THE FOREGOING, ITSC EXPLICITLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WRRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE IN TRADE. b. ITSC NOR ITSC’S AFFILIATES WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSS IN CONNECTION WITH ANY ITSC NFT OR ARTWORK AND TAKES NO RESPONSIBILITY FOR, AND WILL NOT BE LIABLE TO YOU FOR, ANY USE OF OR INABILITY TO USE ANY ITSC NFT OR ARTWORK, INCLUDING BUT NOT LIMITED TO ANY LOSSES, DAMAGES, OR CLAIMS ARISING FROM: (I) USER ERROR SUCH AS FORGOTTEN PASSWORDS, INCORRECTLY CONSTRUCTED TRANSACTIONS, OR MISTYPED WALLET ADDRESSES; (II) THE BEHAVIOR OR OUTPUT OF ANY SOFTWARE OR HARDWARE; (III) DATA LOSS OR CORRUPTION; (IV) ANY FEATURES, DEVELOPMENT, ERRORS, OR OTHER ISSUES WITH BLOCKCHAIN NETWORKS OR WALLETS; (V) UNAUTHORIZED ACCESS TO ANY ITSC NFT OR UNDERLYING ARTWORK; (VI) THE ACTS OR OMISSIONS OF ANY THIRD PARTY; AND/OR (VII) ANY ACT OF GOD OR CAUSES OUTSIDE THE REASONABLE CONTROL OF ITSC OR ITSC’S AFFILIATES. c. CERTAIN JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OR ALL OF THE EXCLUSIONS MAY NOT APPLY TO YOU. 15. Assumption of Risk. You acknowledge, accept and solely assume all risks associated with any of the following: a. You are solely responsible for conducting diligence of an ITSC NFT and its corresponding Artwork prior to acquisition. We strongly advise that you engage in transparent communication with a prior owner and exchange any necessary documentation and information to satisfy your investigation of an ITSC NFT prior to acquisition. b. Blockchain technology and digital assets (e.g., non-fungible tokens and cryptocurrencies) are relatively new and the regulatory framework relating to blockchain technology and digital assets, which can materially impact the value of an ITSC NFT, is uncertain and evolving. You should not consider an ITSC NFT as an investment for any purpose. c. You are solely responsible for determining and paying any taxes that apply to your purchase, sale, or transfer of rights in an ITSC NFT. d. Transactions involving an ITSC NFT and its corresponding Artwork rely on third-party or decentralized websites, platforms, systems, or marketplaces (“Third-Party Platform”). We do not maintain, control, or assume any obligations with respect to such platforms, systems, or marketplaces. To the extent that ITSC provides links or access to third party platforms, sites, or other resources, it does so only as a convenience and is not responsible for the content, products, or services on or available from those third parties or through any content displayed thereon. e. When you link your digital wallet to a Third-Party Platform to mint or transfer or otherwise access an ITSC NFT, you understand and agree that you are solely responsible for maintaining the security of your digital wallet and your control over any wallet-related authentication credentials, private or public cryptocurrency keys, non-fungible tokens or cryptocurrencies that are stored in or are accessible through your digital wallet. Any unauthorized access to your cryptocurrency wallet by third parties could result in the loss or theft of an ITSC NFT and/or other assets held in your wallet and any associated wallets, including any linked financial information such as bank account(s) or credit card(s). We are not responsible for managing and maintaining the security of your digital wallet nor for any unauthorized access to or use of your digital wallet. 16. Indemnity. You agree to indemnify, defend and hold harmless ITSC and ITSC’s Affiliates and their respective parents, subsidiaries, owners, directors, officers, employees, agents, representatives, predecessors, successors, and assigns (collectively, the “Indemnitees”) from and against any and all losses, damages, claims (including third-party claims), charges, interest, penalties, taxes, actions, lawsuits, amounts paid in settlement, judgments, awards, fines, deficiencies, interest, demands and expenses, including, to the extent applicable, any special, consequential, punitive or exemplary damages or losses, diminution in value, costs and expenses (including legal, consultant, accounting and other professional fees and fees and costs incurred in enforcing the Terms and costs incurred in pursuing any insurance providers) incurred or sustained by, or imposed upon, any Indemnitee, which is based upon, arises out of, or is related to: (a) any inaccuracy of any representation by you, (b) your breach or alleged breach of the Terms, (c) your access to or use of any non-fungible token marketplace or third-party services or products, (d) your exercise or attempted exercise of the License, and/or (e) your actual or alleged violation of any applicable law. Counsel to be used in the defense of such claim must be approved by ITSC in writing prior to retention of such counsel and, upon our request, you will allow ITSC to participate in the defense of any such claims. You will not enter into any settlement or compromise of any claim or litigation or that includes an admission of liability without our prior written consent. 17. Limitation of Liability. a. You agree to limit the total aggregate liability of each Indemnitee relating to, arising from or in connection with the Terms, ITSC NFTs, Artworks and Additional Benefit, however caused, whether under a theory of contract, tort (including negligence), statute, or otherwise, to $100. b. In no event shall any Indemnitee be liable for consequential, incidental, indirect or special damages, however caused, whether under a theory of contract, tort (including negligence), or otherwise, even if such Indemnitee was advised of the possibility of such damages. 18. Arbitration; Governing Law. a. THIS AGREEMENT SHALL BE GOVERNED IN ALL RESPECTS, INCLUDING VALIDITY, INTERPRETATION AND EFFECT, BY THE LAWS OF THE REPUBLIC OF KOREA APPLICABLE TO CONTRACTS EXECUTED WITHOUT GIVING EFFECT TO THE CHOICE OF LAW PRINCIPLES OF THE REPUBLIC OF KOREA. YOU ACKNOWLEDE THAT YOU HAVE NO RIGHT TO A TRIAL BY JURY. b. Any dispute relating to, arising out of or in connection with the Terms shall be finally settled by arbitration in accordance with the International Arbitration Rules of the Korean Commercial Arbitration Board. The number of arbitrators shall be three. The seat, or legal place, of arbitral proceedings shall be Seoul, the Republic of Korea. The language to be used in the arbitral proceedings shall be English. c. To the extent permitted by applicable laws: (i) you and ITSC shall be evenly split all costs of filing, administration, and arbitration fees, and (ii) you and ITSC shall each be responsible for payment of your own fees incurred in the arbitration, including, but not limited to, fees for attorneys, consultants and experts. d. The arbitrator shall determine all issues of liability on the merits of any claim asserted by either party and may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim. To the extent that you or ITSC prevail on a claim and seek public injunctive relief (that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the public), the entitlement to and extent of such relief must be litigated in a civil court of competent jurisdiction and not in arbitration. The parties agree that litigation of any issues of public injunctive relief shall be stayed pending the outcome of the merits of any individual claims in arbitration. 19. Waiver of Class and Collective Actions. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ITSC AGREE THAT NEITHER MAY PARTICIPATE AS A CLASS REPRESENTATIVE, PRIVATE ATTORNEY GENERAL, OR MEMBER OF ANY CLASS OF CLAIMANTS FOR ANY DISPUTE RELATING TO, ARISING FROM OR CONNECTED WITH THE ITSC COLLECTION, ANY ARTWORK, YOUR ITSC NFT, OR ANY DERIVATIVE WORK. ANY INTERPRETATION OF THIS PROVISION SHALL BE MADE IN A MANNER THAT WILL RENDER IT ENFORCEABLE TO THE MAXIMUM EXTENT POSSIBLE. IF, FOR ANY REASON, THIS PROVISION IS DEEMED UNENFORCEABLE BY A COURT OR ARBITRATOR, YOU AGREE THAT THE PARTIES’ AGREEMENT TO ARBITRATE IS THEN ENTIRELY VOID, WITHOUT AFFECTING THE BALANCE OF THE TERMS. 20. Assignment. ITSC may in its sole discretion assign the Terms to ITSC’s Affiliate or any other third-party. Upon such an assignment, you agree to fully and forever release ITSC from any and all further liabilities and obligations under the Terms as of the date of the assignment. You may not assign this Agreement without the prior written consent of ITSC. 21. Non-Security; Other Acknowledgments. YOU ACKNOWLEDGE AND AGREE THAT: (A) ITSC NFTS AND ARTWORKS ARE COLLECTIBLES AND INTENDED FOR CONSUMER EJOYMENT, USE AND CONSUMPTION ONLY; (B) ITSC NFTS AND ARTWORKS ARE NOT “SECURITIES” AS THAT TERM IS DEFINED UNDER APPLICABLE SECURITIES LAWS OF THE REPUBLIC OF KOREA, THE UNITED STATES OF AMERICA OR ANY OTHER TERRITORY; (C) YOU HAVE NEVER BEEN INFORMED AND YOU DO NOT HAVE A REASONABLE EXPECTATION OR BELIEF THAT YOU WILL DERIVATE A PROFIT FROM AN ITSC NFT OR ARTWORK; (D) AN ITSC NFT AND ARTWORK MAY LOSE VALUE OVER TIME; (E) EACH ITSC NFT AND ARTWORK IS UNIQUE AND ONE OR MORE ITSC NFTS OR ARTWORK MAY INCREASE IN VALUE WHILE OTHER DO NOT; AND (F) NO ONE (INCLUDING ITSC) HAS EVER REPRESENTED OR PROMISED TO YOU TO UNDERTAKE ANY EFFORTS TO PROMOTE OR OTHERWISE INCREASE OF THE VALUE OF AN ITSC NFT(S) OR ARTWORK(S), AND YOU HAVE NEVER RELIED ON ANY SUCH REPRESENTATION OR PROMISE IN CONNECTION WITH THE ACQUISITION OR HOLDING OF AN ITSC NFT. 22. Terms of Service of Third-Party Platform. You agree to comply with all terms of use applicable to third-party platforms which you access or use to create, transfer, purchase and/or sell an ITSC NFT (each a “Service Platform”). ITSC and ITSC’s Affiliates are not responsible or liable to you in any manner for your access or use of a Service Platform. 23. No Fiduciary Duties. To the fullest extent permitted by law, ITSC and ITSC’s Affiliates will not owe you or any third-party a fiduciary duty or liability except as you and ITSC may otherwise agree in a separate written and duly executed agreement. To the extent any such fiduciary duty or liability exists at law or in equity, those duties and liabilities are hereby irrevocably disclaimed, waived and eliminated. You agree that the only duties and obligations of ITSC may owe you are those set out expressly in the Terms. 24. Entire Agreement. The Terms contain the entire understanding between you and ITSC and supersede and all prior contemporaneous representations, understanding and agreements with respect to the subject matter of the Terms, all of which are merged into the Terms. There are no representations, warranties, agreements, arrangements, undertakings, oral or written, between or among your or ITSC with regard to the matters set forth herein which are not fully expressed in the Terms. The terms of any other document, publication or course of dealing or course of trade will not modify these Terms except as provided in Section 3 and Section 29. 25. Modifications in Writing. This Agreement may not be altered, amended, modified or otherwise changed in any respect or particular whatsoever, except by a writing duly executed by you and ITSC. A modification or waiver of any one provision shall not constitute a modification or waiver of any other provision that is not expressly modified or waived. 26. Severability. Each part, term, section, and provision of the Terms is severable from the others. In the event that any part, term, section or provision is determined by an arbitrator (or a court of competent jurisdiction if arbitration is not enforceable pursuant to applicable laws), to be invalid, illegal, or unenforceable, for whatever reason: (i) such invalid, illegal or unenforceable part, term, section or provision shall be fully severable (but only to the extent required to comply with applicable law); (ii) and the Terms shall then be construed and enforced as if such invalid, illegal or unenforceable part, term, section or provision had not been contained in the Terms; and (iii) the remaining part, term, section or provision of the Terms shall remain in full force and effect and shall not be affected by the illegal, invalid or unenforceable part, term, section or provision, or by its severance from the Terms. 27. Representation by Counsel. You are advised to seek independent legal counsel of your own choosing in connection with the review of this Agreement prior to acquiring a non-fungible token in connection with an Artwork. You agree that you had a full opportunity to review the Terms to the extent you so desired without any undue influence by ITSC or any other third-party. 28. Waiver. Failure to promptly enforce a provision of these Terms or any rights related to the Your ITSC NFT or Underlying Artwork will not be construed as a waiver of such provision or rights. 29. Designation of Blockchain; Forks. The License applies only to the ITSC NFTs on the blockchain that ITSC, in its sole discretion, may designate, which designation shall apply retroactively. Thus, for example, if a fork or other event purports to result in duplicate ITSC NFTs, only the non-fungible token recorded on the blockchain designated by ITSC will be eligible to receive the benefit of the License. Any license purportedly granted hereunder to the owner of a non-fungible token recorded on a blockchain not designated by ITSC is void ab initio. 30. Survival of Agreement. Your representations, warranties, and obligations will survive until all potential statutes of limitations for all claims, whether asserted by you or a third-party, have expired. 31. Headings. Headings of sections and subsection of the Terms have been inserted for convenience of reference only and may not be used to construe or interpret the Terms. 32. Language. This Terms are provided in the English language, which version shall prevail over any other translation thereof. 33. Limited Relationship of Parties. Nothing contained in the Terms will be construed as creating any agency, partnership, joint venture, pooling arrangement, or other form of joint enterprise, employment, or fiduciary relationship between the parties, and neither party will have authority to contract for or bind the other party in any manner whatsoever. 34. Further Assurances. You shall execute and deliver to ITSC any and all such other instruments in reasonable mutually acceptable form and substance and shall take any and all such other actions as may be reasonably necessary to give effect to the intent of these Terms into full force and effect. 35. Construction. All terms and conditions contained herein have been fully reviewed by you. You agree that any principle of construction or rule of law that provides that, in the event of any inconsistency or ambiguity, an agreement shall be construed against the drafter of the agreement shall have no application to the terms and conditions of this Agreement.
